Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and BUILDERSTEPS INC. ("Buildersteps," "we," "us," or "our") governing your access to and use of the Buildersteps software application and related services (collectively, the "Platform").

By signing into, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Platform. Nothing in these Terms waives any statutory right that cannot be waived under applicable law.

2. Platform Overview

Buildersteps is a construction management software platform provided to general contracting businesses ("General Contractors") to manage their operations, including projects, proposals, change orders, invoices, contracts, payments, and business records. Access to the Platform is restricted to authorized users invited by a participating business.

3. Relationship of the Parties; Construction Disclaimer

BUILDERSTEPS INC. is a software provider, not a general contractor, subcontractor, construction manager, or financial institution.

• No Party to Project Agreements: Any proposal, change order, invoice, contract, or other project document created, shared, or signed through the Platform is a direct agreement solely between the General Contractor and the applicable customer or contractor named on that document. BUILDERSTEPS INC. is not a party to, and has no obligations under, any such agreement.
• No Responsibility for Construction Services: BUILDERSTEPS INC. does not perform construction services and is not responsible or liable for the performance, quality, materials, workmanship, pricing, scheduling, warranties, safety, or legal compliance of any work or services provided by a General Contractor or its subcontractors. The General Contractor bears sole responsibility for all obligations arising under its project documents.

4. Accounts and Access

• Account Access: To use the Platform, you must be granted an account by an authorized business administrator. You may only access the Platform using your own authorized credentials. You may not share your account access or use another person’s account. You are solely responsible for all activity occurring under your account.
• Deactivation and Retention: A business administrator or BUILDERSTEPS INC. may modify or deactivate your account at any time, and you may stop using the Platform at any time. Deactivation terminates your ability to sign in, but it does not erase historical project, billing, tax, compliance, or signature records that a business is legally or operationally required to retain.

5. Confidentiality

All project, financial, billing, and compliance records stored on the Platform ("Project Records") are confidential to the specific project and business to which they belong. You may only access Project Records that you are authorized to view, and you may not copy, export, disclose, or share them with any unauthorized third party, except as strictly required by law.

6. Electronic Signatures

The Platform allows users to execute proposals, change orders, and other agreements electronically. By providing an electronic signature on the Platform, you agree that your electronic signature is the legal equivalent of your manual, handwritten signature and is binding under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act), the Uniform Electronic Transactions Act (UETA), and other applicable laws. Only the specific individual designated on a document is authorized to sign it. The signed document—not these Terms—serves as the governing agreement between the parties to that document.

7. Invoices and Payments

• Payment Obligations: All payments made or recorded through the Platform are owed directly between the contracting parties pursuant to their underlying project agreements and invoices. BUILDERSTEPS INC. is not the party owed for construction work or services.
• Payment Processing Disclaimer: BUILDERSTEPS INC. does not extend credit, lend money, or guarantee that any payment transaction will clear or settle. A payment or payout that fails, is returned, is reversed, or is placed on hold does not discharge, cancel, or forgive the underlying debt owed between the contracting parties.

8. User Content and Accuracy

You are solely responsible for the accuracy, completeness, and legality of all information, documents, and files you submit to the Platform, including contact details, signatures, invoices, and compliance documentation. You warrant that you have all necessary rights and permissions to upload any content you submit. You may not upload unlawful content or files containing personal or sensitive third-party information unless strictly required for legitimate project administration.

9. Acceptable Use

You agree to use the Platform only for authorized business and project purposes. You will not, directly or indirectly:

1. Attempt to access records or areas of the Platform that you are not authorized to view;
2. Interfere with the operation of the Platform or bypass any security or access controls;
3. Upload malicious files, viruses, or harmful code; or
4. Resell, lease, copy, reverse-engineer, or create derivative works of the Platform.

10. Intellectual Property

BUILDERSTEPS INC. retains all right, title, and interest in and to the Platform, the Buildersteps name, branding, design, and software. Subject to your compliance with these Terms, BUILDERSTEPS INC. grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Platform while your account remains active. This right terminates immediately when your account is deactivated or these Terms end.

11. Platform Availability

We may modify, suspend, or discontinue any part of the Platform at any time without liability, and we do not guarantee uninterrupted or error-free access. Any change to the Platform does not alter, amend, or invalidate any proposal, change order, invoice, or contract that has already been sent or signed.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUILDERSTEPS INC. EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BUILDERSTEPS INC. DOES NOT WARRANT THAT PLATFORM RECORDS WILL BE ERROR-FREE, NOR DOES IT MAKE ANY WARRANTY REGARDING ANY CONSTRUCTION OR OTHER SERVICES PROVIDED BY A GENERAL CONTRACTOR OR SUBCONTRACTOR.

13. Limitation of Liability and Indemnification

• Limitation of Liability: BUILDERSTEPS INC. IS NOT LIABLE FOR ANY CONSTRUCTION, MATERIALS, WORKMANSHIP, DELAYS, OR SERVICES PROVIDED BY A GENERAL CONTRACTOR OR SUBCONTRACTOR. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILDERSTEPS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS OR REVENUES ARISING FROM YOUR USE OF THE PLATFORM.
• Preservation of Underlying Obligations: This limitation does not apply to amounts owed between customers, General Contractors, and subcontractors under their respective agreements or invoices, or to any liability that cannot be limited by law.
• Indemnification: You are responsible for, and agree to indemnify and hold harmless BUILDERSTEPS INC. from, any claim, loss, or liability arising from your misuse of the Platform, your breach of these Terms, or any content you upload without the legal right to do so.

14. Changes to These Terms

We may update these Terms from time to time. The Effective Date at the top of this page indicates when these Terms were last revised. Your continued use of the Platform after an update constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform and request that your account be deactivated.

15. Governing Law and Venue

These Terms are governed by the laws of the state where BUILDERSTEPS INC. maintains its principal place of business, without regard to conflict-of-law rules. The state and federal courts located in that jurisdiction shall be the exclusive venue for any dispute arising out of these Terms. Any dispute regarding construction work, payments, or project services is strictly between the contracting parties and is governed by their underlying agreement and the law applicable to it.

16. Notices

Questions regarding your account access or specific project records should be directed to the business administrator who invited you to the Platform. Official notices regarding these Terms will be provided by BUILDERSTEPS INC. through the Platform or via the email address associated with your account.
